LLP Registration Fees in India (2026): Full Cost Breakdown

Starting an LLP is one of the cheapest ways to set up a business in India. But the first question everyone asks is the same: how much will it cost?

Here is the short answer. For a small LLP with two partners, the government fees and digital signatures usually come to about ₹4,000 to ₹8,000. Add your state’s stamp duty and, if you want help, a professional fee, and most people end up spending roughly ₹6,000 to ₹20,000 in total.

The exact number depends on three things: how much capital the partners put in, which state you register in, and whether you file it yourself or hire someone. This guide explains every fee in simple words, shows three real examples, and covers what an LLP costs after it is registered.

What You Actually Pay For

1. Government fees (paid to MCA)

MCA is the Ministry of Corporate Affairs. It handles LLP registration in India, and you pay it three fees: RUN-LLP to reserve your name, FiLLiP to incorporate the LLP, and Form 3 to file your LLP Agreement.

These fees are the same in every state. They only change with the amount of capital your partners agree to contribute.

2. Stamp duty (paid to your state)

Your LLP Agreement must be printed on stamp paper. The amount depends on your state, and in many states it also depends on your capital. This is the part of the cost that changes the most from one state to another.

3. Digital Signature Certificate (DSC)

Every designated partner needs a Class 3 DSC to sign the forms online. Prices depend on the provider, but plan for about ₹1,250 to ₹2,500 per partner. An LLP needs at least two designated partners, so you need at least two DSCs.

4. Professional fees (optional)

You can file everything yourself. Many founders still prefer to hire a CA, a CS or an online service to handle the name, the forms and the agreement. If you do, ask exactly what is included, because some packages leave out stamp duty or DSC.

MCA Fees by Capital Contribution

Capital contribution means the total amount all partners agree to put into the LLP. The higher it is, the higher the MCA fee.

Three Real Examples

To keep it simple, these examples assume two designated partners, a DSC cost of ₹1,500 each, the name reserved through RUN-LLP, and no professional help.

What Does an LLP Cost After Registration?

Many people only budget for setup. An LLP also has yearly costs:

  • Form 11 (Annual Return): due by 30 May every year.
  • Form 8 (Statement of Account and Solvency): due by 30 October every year.
  • MCA fees for these forms: they start at about ₹50 and rise with your contribution. Check the exact slab on the MCA portal.
  • Late fee: as a general rule, late filing adds ₹100 per day, per form. For example, if you file Form 8 thirty days late, you pay about ₹3,000 extra on top of the normal fee. Confirm the exact late fee for your form on MCA.
  • Income tax return: every LLP must file one each year, even with no profit.
  • Audit: needed only if your turnover is above ₹40 lakh or your contribution is above ₹25 lakh.
  • Accounting: you need to keep proper books, which may cost you a bookkeeper’s fee.

In short, an LLP is cheaper to run. It suits small businesses, consultants and professional firms. If you plan to raise money from investors, a Private Limited company may be the better choice despite the higher cost.

5 Easy Ways to Save Money When Filing for LLP

  1. Be realistic with capital. Fees, and often stamp duty, go up as capital goes up. Declare what your partners actually plan to contribute.
  2. Know your state’s stamp duty early. It helps you plan the budget. Your registered office must be real, so do not pick a state only to save a few hundred rupees.
  3. Buy DSC from authorised certifying agencies. Cheap unknown sellers can cause problems later. Keep your DSC safe, because you will need it again for yearly filings.
  4. File Form 3 on time. Within 30 days is the rule. The fee is small, but the late fee is not.
  5. Ask what a package includes. Check if stamp duty, DSC and Form 3 are part of the price before you pay.

FAQs

For most small LLPs, the all-in cost is roughly ₹6,000 to ₹20,000, depending on capital, state stamp duty and whether you hire a professional.

In most cases there is no separate government fee for the DIN (also called DPIN). It is applied for inside the FiLLiP form for partners who do not already have one. Check the portal for your case.

Usually about 10 to 15 working days, if your documents are correct and the name is approved without problems.

No. You need a registered office address with valid proof. Some businesses use a virtual office where it is allowed, so confirm the rules for your situation.

The MCA fees are the same everywhere. Only stamp duty changes from state to state.

Final Thoughts

LLP registration fees are easy to understand once you split them into four parts: MCA fees, DSC, stamp duty and optional professional fees. Most of the cost comes from your state’s stamp duty and the FiLLiP slab for your capital. Plan for yearly filings too, so late fees never catch you off guard.
